These Terms of Service ("Terms") form a legally binding contract between TIMU CORP, doing business as Paws Impérial ("Paws Impérial," "Provider," "we," "us"), and you ("Client," "you").
This Agreement governs your use of our website, purchase of pet products, and booking of dog walking services. Dog walking services require execution of a separate Service Agreement prior to first service. Failure to execute the Service Agreement will result in cancellation of booking with full refund; no dog walking services will be provided without executed Service Agreement.
In case of conflict between these Terms and the Service Agreement regarding pet care, safety, behavioral requirements, or liability matters, the Service Agreement (pawsimperial.com/service-agreement) shall control. For all other matters including payment, cancellations, product sales, and dispute resolution, these Terms control.
1.1 Purpose and Scope
These Terms of Service ("Terms") form a legally binding contract between TIMU CORP, doing business as Paws Impérial ("Paws Impérial," "Provider," "we," "us"), and you ("Client," "you"). This Agreement governs your use of our website, purchase of pet products, and booking of dog walking services. Dog walking services require execution of a separate Service Agreement prior to first service. Failure to execute the Service Agreement will result in cancellation of booking with full refund; no dog walking services will be provided without executed Service Agreement.
1.2 Acceptance of Terms
You agree to these Terms when you: use our website/app, purchase products, book dog walking services, create an account, click "I Agree" or similar buttons, or submit payment.
Electronic Acceptance
This Agreement is formed upon any of the actions above. By using our website, purchasing products, or booking services, you confirm your agreement to these Terms. You consent to receive all communications electronically.
Our system records: acceptance timestamp (EST), IP address, device information, and Terms version. Continued use constitutes acceptance of the most current version.
You should read these Terms carefully before clicking "I Agree" or completing any transaction. If you do not agree to these Terms, you must not access or use the Services or purchase Products.
1.3 Modifications
We may modify these Terms at any time.
- Non-material changes (clarifications, formatting, contact updates): effective immediately upon posting at pawsimperial.com/terms without prior notice.
- Material changes (affecting liability, payment terms, cancellation policy, or dispute resolution) are effective thirty (30) days after email notice to active clients with scheduled services. Continued use after effective date constitutes acceptance. To reject material changes: discontinue use, cancel future services, and notify us at info@pawsimperial.com within 7 days of notice.
1.4 General Legal Provisions
These written Terms control over verbal statements, marketing materials, or prior versions. No employee may modify these Terms verbally. Written modifications require authorization from a TIMU CORP officer.
If any provision is unenforceable, it will be severed; remaining provisions remain in effect. Our failure to enforce any right does not waive that right. Any waiver must be in writing.
1.5 Assignment
You may not transfer your rights under these Terms without our written consent. We may assign these Terms to successors, affiliates, subcontractors, or third parties in connection with merger, acquisition, or sale of assets.
1.6 Survival
Payment obligations, liability limitations, indemnification, intellectual property rights, and dispute resolution and arbitration provisions survive termination.
1.7 Age Requirement
You must be at least 18 years old to use our services. If booking on behalf of a minor or for a pet owned by a minor, the parent or legal guardian who accepts these Terms assumes full legal and financial responsibility.
1.8 Service Areas
Paws Impérial serves select areas in New York City and Northern New Jersey. Service availability varies and is subject to change without notice. Confirm availability at pawsimperial.com/service-area or contact info@pawsimperial.com.

For purposes of these Terms:
- "Client," "Owner," "You" — the person or entity purchasing services or products from Paws Impérial.
- "Provider," "We," "Us," "Paws Impérial" — TIMU CORP, doing business as Paws Impérial.
- "Services" — all dog walking, outdoor adventures, optional transportation, pet care, and related services offered by Paws Impérial.
- "Products" — all retail items sold through Paws Impérial's website or platforms.
- "Transportation Option" — optional pick-up and drop-off service for dogs, when offered and available, as part of dog walking services.
- "Service Area" — geographic zones where Paws Impérial currently provides services, as determined solely by Paws Impérial and subject to change without notice. Changes to Service Area do not affect services already booked and confirmed.
- "Agreement" — these Terms of Service, together with all incorporated policies and the Service Agreement (for dog walking services).
- "Dog(s)" or "Pet" — any canine in your legal custody or temporary care at the time Services are provided. Terms are used interchangeably.
- "Business Days" — Monday through Friday, excluding U.S. federal holidays.
- "Material Breach" — significant violation of this Agreement including: non-payment or fraudulent payment; providing false, incomplete, or misleading information; failure to disclose bite history or aggressive behavior; dog aggression toward people or animals; harassment or abusive conduct toward Provider's personnel; unsafe premises conditions; or repeated violations of booking, cancellation, or safety requirements.
Additional terms specific to dog walking services are defined in the Service Agreement.
3.1 Dog Walking & Outdoor Services
Paws Impérial provides dog walking and outdoor group activities ("Services") including supervised outdoor activity, basic care, waste removal, and optional transportation when offered.
Services are subject to availability, weather conditions, and operational capacity. Actual duration and format may vary based on safety, dog behavior, and operational needs. Outdoor routes, walking duration, and service format may be adjusted for safety, access, weather, and operational conditions.
Transportation
When transportation is offered and selected by Client, pick-up and drop-off times may vary within a 15–30 minute window. Dogs are transported in individual climate-controlled travel suites (65°F–77°F / 18°C–25°C Company standard). Multiple dogs may travel in separate suites simultaneously. By selecting transportation, Client acknowledges inherent risks including mild stress, motion sickness, and normal interaction with other dogs.
Weather Modifications
Provider reserves the right to modify, shorten, or cancel services at any time based on weather or safety conditions, at Provider's professional judgment. Services lasting 50% or more of scheduled duration count as completed services. Services under 50% of scheduled duration: a minimum fee of $100 applies to cover transportation and handler costs; the remaining balance will be credited toward the next booking. No cash refund will be issued.
Client is responsible for ensuring Pet is appropriately equipped for weather conditions, including paw protection if needed. Provider may cancel or modify services during icy or hazardous conditions at professional judgment. Services will be rescheduled to the next available date at no charge.
Service Packages
Multi-day packages (7-day, 14-day, 30-day) do not guarantee daily service or specific scheduling. Package expiration periods: 7-day (60 days), 14-day (90 days), 30-day (120 days) from purchase date. Packages are non-refundable, non-transferable, and non-extendable for any reason except as expressly stated in the Medical Exception policy (Section 8.1). This policy is disclosed prior to purchase and constitutes informed consent under NY General Business Law §349 and NJ Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.). 3.2 Products
Physical products may be returned within 14 days of delivery if unused, unopened, and in original packaging. Return shipping costs are the responsibility of the customer. In the event a customer claims an item is defective, we reserve the right to inspect the item upon receipt. Return shipping is Client's responsibility unless item is defective or incorrect due to Provider error.
Non-returnable: Custom items, digital products, gift cards, perishable items (treats, supplements).
3.3 Digital Services
Online booking, account management, payment processing, and notifications provided "as is." Provider will make reasonable efforts to maintain availability but does not guarantee uninterrupted access. Digital features may be modified or discontinued at any time without notice.
3.4 Scheduling
All services require advance booking: 48 hours for new clients, 24 hours for existing clients (preferred minimum). Same-day requests may be accommodated when capacity allows but are not guaranteed.
Provider may limit capacity, adjust schedules, or decline bookings for operational or safety reasons. No specific time slot or service date is guaranteed until confirmed in writing.
4.1 Vaccination Requirements
All dogs must have a current Rabies vaccination as required by NYC Health Code §161.04 and NJ State Law. Proof required before first service. Additional vaccinations may be required by Company policy for group services.
Vaccinations must remain current throughout service period. Clients must notify us immediately of any lapse or expiration. Services will be suspended until valid proof of current vaccinations is provided.
If vaccination expires during a package period, remaining services are suspended until proof of renewal provided. No refunds or credits for suspended services.
4.2 Licensing & Identification
Clients must ensure dogs comply with all local licensing requirements (NYC Health Code §161.04; NJ municipal requirements). Dogs must wear identification tags with current owner contact information during all services.
4.3 Behavioral Requirements & Disclosure
Dogs must be leash-trained, non-aggressive, and comfortable around people and other dogs.
4.4 Behavioral Assessment
Paws Impérial may conduct behavioral reviews to evaluate temperament, sociability, and service suitability. Based on assessment, we may: adjust service type, require solo services, mandate trial outings, or decline service entirely.
Behavioral assessment does not waive Client's disclosure obligations under Section 4.3.
4.5 Client Responsibilities
Clients must:
- Provide accurate, complete information about dog's health, behavior, and history
- Maintain current contact details and emergency contacts
- Ensure dog wears proper identification
- Provide accurate access information for pick-up (if applicable)
- Ensure dog is ready at scheduled time
- Provide safe, properly fitted equipment (collar, harness, leash in good condition)
Unsafe Equipment: If equipment is unsafe, worn, or improperly fitted, service will be paused until resolved. Service paused due to Client's equipment failure may be treated as client-caused cancellation with fees per Section 9.
4.6 Right to Refuse Service
Paws Impérial may reasonably refuse, suspend, or discontinue service for: aggression or dangerous behavior; missing, expired, or fraudulent vaccination records; undisclosed medical or behavioral issues; unsafe premises conditions; non-payment or repeated late payment; harassment or abusive conduct; or policy violations.
5.1 How to Book
Book via website, email (info@pawsimperial.com), or phone. Full payment required at booking. Booking confirmed only upon written confirmation via email or SMS.
5.2 Advance Notice
- New clients: 48 hours advance notice required.
- Existing clients: 24 hours minimum (preferred).
- Same-day requests: Accommodated when capacity allows but not guaranteed.
Peak periods (weekends, holidays) may require earlier booking. Paws Impérial does not guarantee availability for any specific date, time, or service slot until confirmed in writing.
5.2.1 Last-Minute Requests
A rush fee of $15 applies to requests made less than 24 hours before scheduled service (or less than 48 hours for new clients), subject to availability.
5.3 Schedule Confirmation & Timing
All pick-up and return times are approximate and may shift due to traffic, weather, routing adjustments, or safety conditions.
- Delays: Operational delays up to 60 minutes due to traffic, road closures, accidents, weather, or other circumstances beyond Provider's reasonable control do not constitute breach and do not qualify for refunds or compensation. Delays exceeding 60 minutes caused solely by Provider's fault may be eligible for service credit at Provider's professional judgment.
- Client Late: If dog is not ready at scheduled time, 10-minute grace period applies. After 10 minutes, service may proceed without dog. This constitutes a no-show with full service fee charged per Section 5.5.
5.4 Recurring Services
Recurring service slots depend on capacity and are not guaranteed from week to week.
Schedule changes require 7 days advance notice. Changes with less than 7 days notice are subject to cancellation fees per Section 9.
Provider may modify or discontinue recurring services at any time for safety, dog compatibility, operational capacity, or routing reasons.
5.5 No-Show Policy
No-show occurs when dog is unavailable, unreachable, or unprepared at scheduled time. 10-minute grace period applies.
No-show includes:
- Dog not ready or accessible at scheduled time
- Incorrect or non-functional access information
- Dog displays aggressive behavior preventing safe service
- Dog is visibly unwell and cannot safely participate
- Client cancels after staff has already arrived on-site or departed for pick-up
Fees: Full service fee charged. On a first no-show occurrence, Provider may, at its professional judgment, offer a service credit in lieu of full forfeiture as a goodwill gesture; this does not create an obligation to do so in future occurrences. Three or more no-shows within any 60-day period may result, at Provider's professional judgment, in one or more of the following: (a) temporary suspension of booking privileges; (b) requirement of prepayment for all future services; (c) permanent termination of services without refund of unused prepaid sessions. Client will be notified in writing before any account action is taken.
5.6 Scheduling Restrictions
Provider may: limit number of dogs per outing, request updated vaccination records before scheduling, require behavioral assessment or trial service, decline bookings that conflict with operational needs or safety requirements.
5.7 Waitlist
During high-demand periods, waitlists may be maintained. Waitlist placement does not guarantee service. Priority may be given to existing clients, package holders, or recurring service clients.
6.1 Online Orders
Products available at pawsimperial.com. Full payment required at checkout. Prices and availability subject to change without notice. Applicable sales tax will be calculated and added at checkout where required by law based on the delivery address.
6.2 Shipping
Standard shipping estimates typically range from 5–7 business days. Expedited shipping options may be available at checkout. Shipping timelines are estimates only and are not guaranteed.
If Provider cannot ship an order within the time stated at checkout (or within thirty (30) days if no time is stated), Provider will notify Client and provide a revised estimated shipping date. Client may accept the revised date or cancel for a full refund.
Risk of Loss
Risk of loss and title pass to Client upon delivery to the carrier-designated address as confirmed by carrier tracking. If a shipment is marked delivered but not received, Client must file a claim with the carrier within 48 hours.
6.3 Order Changes, Delays & Cancellations
Orders may be cancelled for a full refund prior to shipment. Once shipped, orders may not be cancelled or modified. Refused or undeliverable shipments returned to Provider may be refunded less return shipping costs and handling fees.
6.4 Returns & Exchanges
Return Window: 14 days from delivery. Items must be unused, unwashed, unworn, free of pet hair/odors, in original unopened packaging with all tags attached.
Non-returnable: Custom/personalized items, digital products, gift cards, food/treats/supplements/chews (opened or sealed), items showing any signs of pet use. Custom or personalized items are non-returnable under any circumstances.
6.5 Damaged or Defective Items
Report within 48 hours of delivery with photos of item, packaging, and shipping label. Provider will issue replacement, store credit, or refund within 5–10 business days after receipt and inspection.
6.6–6.8 Additional Product Terms
Product descriptions and images are for general reference. Colors, sizes, and materials may vary. Provider may refuse or limit orders involving fraudulent activity, excessive returns, or chargeback abuse. Approved refunds processed within 5–10 business days to original payment method. Cryptocurrency refunds processed at USD equivalent rate on date of refund execution.
7.1 Service Pricing
Current pricing available at pawsimperial.com/pricing. Prices subject to change without notice. Additional fees may apply for rush bookings, special accommodations, out-of-area service, peak periods, or transportation.
7.2 Payment Terms
Full payment required at time of booking. No services provided without confirmed payment.
Accepted Methods: Credit/debit cards, PayPal, cryptocurrency.
Cryptocurrency Payments
- Exchange rate locked at time of booking
- Client responsible for all blockchain network fees
- Blockchain confirmation required before service date
- Client responsible for ensuring timely confirmation; delayed confirmation due to network congestion may result in service delay or cancellation without refund
Client is responsible for any applicable taxes on cryptocurrency transactions.
7.3 Recurring Services
For recurring service arrangements, charges processed automatically 5 days before scheduled service date. Failed payment results in automatic cancellation with no-show fees applied per Section 5.5.
7.4 Additional Charges
Additional charges including cancellation fees, emergency veterinary expenses, or other fees incurred during service must be paid within 7 days of written notification. Client will be notified of any additional charges within 24 hours of their occurrence. Failure to pay additional charges within 7 days may result in suspension of future bookings until outstanding balance is resolved.
7.5 Chargebacks and Payment Disputes
If a Client initiates a chargeback or payment dispute, Paws Impérial reserves the right to recover any actual fees imposed by the payment processor or card network, to the extent permitted by applicable law and card network rules. Clients agree to first contact Paws Impérial to attempt to resolve any billing disputes prior to initiating a chargeback.
7.6–7.7 Refunds & Additional Charges
No refunds for completed services except as expressly stated in this Agreement. Refund eligibility outlined in Sections 5, 6, and 9. Payment method on file may be charged for scheduled services, damage or cleaning fees, cancellation fees, no-show fees, emergency veterinary expenses, and equipment replacement. Client will be notified within 24 hours of any unscheduled charge. Failure to dispute within 14 days constitutes acceptance.
8.1 Rescheduling Policy
All services are sold as packages only. Package purchases are non-refundable. Services may be rescheduled subject to availability and cancellation policy. No cash refunds will be issued for any reason except as required by applicable law. This no-refund policy is disclosed prior to purchase and constitutes informed consent under NY GBL §349 and NJ Consumer Fraud Act (N.J.S.A. 56:8-1 et seq.). Service appointments may be rescheduled without penalty if requested at least 24 hours in advance. Requests made within 24 hours are subject to availability and may incur a service fee. Package expiration is suspended for dates when Provider is unavailable due to capacity, weather, or operational reasons, provided Client is notified in writing of unavailability. Exception: If a dog is medically unable to receive services due to illness or injury, and Client provides written veterinary documentation within 5 business days of the scheduled service, Provider may extend the package validity period by up to 30 days at Provider's professional judgment. No cash refunds will be issued for medical exceptions.

Holiday service days require a minimum of 48 hours advance notice for rescheduling. Rescheduled holiday sessions retain the 1.5x premium rate regardless of the new service date. Less than 48 hours notice on holiday dates — 100% charge applies, no rescheduling permitted.
8.2 Product Returns
We want you to be satisfied with your purchase. Products may be returned within 14 days of delivery for a refund (excluding original shipping costs), subject to all of the following conditions:
- To initiate a return, contact info@pawsimperial.com with subject line "Return Request" within 14 days of delivery. Include your order number and reason for return.
Return shipping costs are the responsibility of the customer. In the event a customer claims an item is defective, we reserve the right to inspect the item upon receipt. If, upon inspection, the item is found to be free of manufacturing defects or appears to have been damaged due to misuse or wear, the return request for a refund will be denied, and the item will be returned to the customer at their expense.
- Items must be free of any signs of use or wear. This requirement is strictly enforced for pet accessories (leashes, harnesses, toys) due to hygiene and safety standards.
- Products must be in their original, unused condition and original packaging.
8.3 No-Show Definition
No-show occurs when: dog is unavailable at scheduled time (10-minute grace period applies); incorrect or non-functional access information prevents entry; dog displays aggressive behavior preventing safe service; dog is visibly ill; or Client cancels after staff has arrived on-site or departed for pick-up.
8.4 Weather Cancellations
- Weather cancellations by either party carry no penalty. Affected service will be rescheduled to the next available date at no additional charge.
8.5 Package Cancellations
Package purchases are non-refundable at time of purchase. Individual outings within an active package may be cancelled subject to standard cancellation fees. Expired outings cannot be refunded, credited, rescheduled, or transferred.
8.6 Recurring Service Cancellations
Individual service cancellations: standard 48/24-hour policy applies. Cancelling entire recurring arrangement: 7 days advance notice required.
8.7 Provider-Initiated Cancellations
If Provider cancels service, Client will receive a full service credit applied to next available booking. Credit is valid for 365 days from date of cancellation. Cash refund is not available for Provider-initiated cancellations except where required by applicable law. Provider is not liable for consequential or indirect losses.
8.8 Force Majeure
Paws Impérial shall not be liable for delay, cancellation, or failure to perform resulting from events beyond Provider's reasonable control, including: severe weather, natural disasters, government orders, public health emergencies, power outages, transportation disruptions, acts of terrorism, civil unrest, vehicle breakdowns not caused by Provider's failure to properly maintain the vehicle, or emergency staff unavailability. Affected services will be rescheduled at Provider's discretion. No cash refunds will be issued for force majeure cancellations.
9.1 General Health & Safety Requirements
All dogs must meet health, vaccination, behavioral, and safety requirements outlined in Section 4, including current vaccinations, non-aggressive behavior, proper identification, and mandatory disclosure of bite history or medical conditions.
9.2 Injuries & Illness During Service
Minor Injuries: Minor injuries typical of outdoor dog activity (light scratches, scrapes, minor abrasions) are inherent risks and do not entitle Client to refunds or compensation.
Serious Injury or Illness: Provider will contact Client and emergency contacts immediately. Provider may authorize emergency veterinary care if Client is unreachable and immediate care is required. Client is solely responsible for all veterinary costs.
9.3 Behavioral Incidents & Service Suspension
If dog displays aggression, dangerous behavior, or severe reactivity during service: service may be immediately suspended; dog may be removed from group activity; Client is liable for all related costs, damages, and injuries. Reinstatement at Provider's professional judgment. Removal or suspension does not entitle Client to refund.
9.4–9.5 Equipment & Additional Restrictions
Clients must provide safe, properly fitted equipment. Provider may require muzzle use at any time. Intact females in heat are not permitted in group activities. Intact dogs may be subject to additional restrictions or solo-service requirements.
9.6 Assumption of Risk — See Service Agreement
Assumption of Risk — Outdoor Environments. Client acknowledges that services may take place in parks, wooded areas, trails, beaches, and other outdoor environments that involve inherent and not fully avoidable risks, including but not limited to: uneven terrain, rocks, roots, sand, mud, slippery or icy surfaces, standing or flowing water, tides, currents, flooding, holes, drop-offs, fallen branches, debris, glass, wildlife, insects, ticks, snakes, other animals, loud noises, traffic, bicycles, pedestrians, off-leash dogs, and the conduct of third parties. Client knowingly and voluntarily assumes all such risks to the fullest extent permitted by applicable law. These risks are inherent to outdoor walking and recreation and are not grounds for refund, compensation, or liability except to the extent caused by Provider's gross negligence or willful misconduct.
This section applies only when transportation with premises access (pick-up/drop-off from Client's home) is selected.
10.1–10.2 Authorization & Client Responsibilities
Premises access provided solely at Provider's discretion. Client is solely responsible for authorizing access and confirming they have the legal right to do so. Provider has no duty to verify third-party permissions beyond Client's representations. Client must provide accurate, complete, current access instructions; notify Provider immediately of any changes; obtain all necessary permissions from landlords or building management; and disclose security systems or alarm codes. Provider bears no responsibility for building management, doormen, roommates, family members, or other occupants; nor for pre-existing lock, alarm, or smart-home failures.
10.3 Failed Access
If Provider cannot access premises due to Client-related failure, service will be classified as Client no-show per Section 5.5. Full service fee charged. No refund or credit issued.
10.4 Liability Limitations
Client acknowledges that codes, keys, smart locks, and access instructions may be used solely for scheduled pet pickup and drop-off during the service window. Provider has no obligation to retain access credentials beyond the service relationship and may delete or return them in accordance with the Privacy Policy and internal retention practices (pawsimperial.com/privacy).
11.1 Transportation as Optional Add-On
Transportation (pick-up and drop-off) is an optional add-on available when selected at booking and confirmed by Provider. Transportation is included in the service package. Provider may decline or cancel transportation for operational, safety, or capacity reasons.
11.2 Eligibility Requirements
Dogs using transportation must meet all Section 4 requirements plus: calm, non-aggressive behavior in vehicle; no behaviors compromising driver safety; tolerance of vehicle restraints; no contagious conditions.
11.3 Vehicle Safety
Dogs secured using Provider-approved restraints. Multiple dogs may be transported together. Provider complies with all applicable group size regulations; the number of handlers and dogs per trip is determined solely by Provider based on operational and safety requirements. Client consents to restraint methods and acknowledges Provider not liable for minor discomfort inherent to vehicle travel.
11.4–11.6 Right to Refuse, Assumption of Risk & Pick-Up Readiness
Provider reserves the right to refuse transportation for any dog that does not meet eligibility requirements or poses a safety risk. Client assumes all risks inherent to vehicle transportation as described in the Service Agreement. Dog must be ready at the scheduled pick-up time; the 10-minute grace period applies per Section 5.5.
12.1 Emergency Authorization
In an emergency, Provider may take reasonable steps necessary to protect the Pet's immediate health and safety, including first aid, transport to a veterinary facility, and authorization of stabilization treatment when the Client cannot be reached after reasonable efforts. Provider has no duty to provide veterinary services and no authority to authorize elective or routine treatment.
12.2 Veterinary Care & Financial Responsibility
Provider will attempt to contact Client or emergency contacts before seeking veterinary care, except where immediate treatment is necessary to prevent suffering or death. Client authorizes Provider to: (1) first attempt to contact Client and emergency contacts; (2) if unreachable, transport Pet to the nearest available veterinary facility; (3) consent to emergency examination and stabilization treatment; (4) if a payment method is on file, bill authorized emergency expenses to that method following Client notification.
Client is solely responsible for all costs associated with emergency veterinary care. Client agrees to reimburse Provider for any expenses advanced on Pet's behalf within fourteen (14) business days of receiving documentation. Unless a specific limit is agreed in the Client's Service Agreement, Provider may authorize emergency examination and stabilization treatment up to $1,500 without prior Client approval where immediate treatment is necessary to prevent suffering or death. Treatment exceeding $1,500 requires Client's prior written or verbal approval, except where delay would risk Pet's immediate health or life. Where Client is unreachable and delay would risk Pet's health or life, Provider may authorize necessary stabilization treatment without prior Client approval.
12.3 Veterinary Facility Selection
Client may designate a preferred veterinarian in Pet's profile. Provider will use reasonable efforts to transport Pet to the designated facility if distance, availability, and Pet's condition permit. Provider reserves the right to use the nearest available facility when immediate care is required.
12.4 Emergency Care — Scope of Liability
Provider is not liable for: (a) veterinary costs incurred during emergencies; (b) medical outcomes resulting from treatment decisions made in good faith under time-sensitive circumstances; or (c) inability to contact Client or emergency contacts. Client waives any claims against Provider related to emergency medical decisions except where Provider acted with gross negligence or intentional misconduct.
13.1 Limitation of Liability
Provider agrees to exercise reasonable care consistent with industry standards. Provider's liability is limited to damages directly and proximately caused by Provider's negligence or intentional misconduct. Provider is not liable for injuries from Pet's pre-existing conditions, incidents caused by inaccurate Client information, harm from inherent risks of canine outdoor activities, or consequences of Client's breach.
This limitation does not apply to damages caused by Provider's gross negligence, willful misconduct, fraud, or violations of applicable law.
13.2 Liability Cap
13.3 Assumption of Risk
Client voluntarily assumes all risks associated with Pet's participation in Services, including injury, illness, stress, behavioral changes, exposure to weather and environmental conditions, interactions with other animals, and risk of escape or loss.
13.4 Client Responsibility for Pet's Actions
Client is solely responsible for all damages, injuries, or losses caused by Pet's behavior or actions, including injuries to other animals, people, or Provider's staff; property damage; veterinary or medical expenses incurred by third parties; and legal costs arising from Pet's conduct.
13.5 Insurance
Provider maintains commercial general liability insurance appropriate for business operations. Client is strongly encouraged to maintain homeowner's or renter's insurance with liability coverage for Pet-related incidents.
13.6 Indemnification
Client agrees to indemnify, defend, and hold harmless Provider and its employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from: Pet's behavior or actions; injuries or property damage caused by Pet; Client's breach of these Terms; Client's provision of false or inaccurate information; or Client's violation of applicable laws.
14.1 Pet Information & Health Requirements
Client must provide complete and accurate information regarding Pet's health, medical history, behavioral characteristics, medications, dietary needs, emergency contacts, and veterinary information. Client must notify Provider within 48 hours of any material changes to Pet's health, behavior, or circumstances.
Client must maintain Pet's current Rabies vaccination as required by applicable law, and any additional vaccinations required by Company policy for group services. Client must provide proof of current vaccination records upon request.
14.2 Service Readiness & Equipment
Client must ensure Pet is available at the scheduled service time with a properly fitted collar or harness and current identification tags. Provider may decline service if Pet is not ready or required equipment is missing or unsafe.
14.3 Communication & Payment Obligations
Client must maintain current contact information and payment methods on file, remain reasonably available during scheduled services, and reimburse Provider within fourteen (14) business days for any emergency veterinary expenses or damages to Provider's property caused by Pet.
14.4 Access, Safety & Conduct
Client must provide safe access to Pet and premises. Client shall not: (a) misrepresent Pet's health, behavior, or vaccination status; (b) request Provider to engage in unsafe practices or violate applicable laws; or (c) engage in abusive, threatening, or harassing conduct toward Provider's staff. Violation of these obligations may result in immediate service suspension or termination without refund, at Provider's professional judgment.
15.1 Permission to Photograph & Record
Client grants Provider permission to photograph and video record Pet during Services for documentation, safety monitoring, service updates, and quality assurance. Provider will make reasonable efforts to avoid capturing sensitive personal information or identifiable images of third parties.
15.2 Marketing & Promotional Use
Client authorizes Provider to use photographs and videos of Pet for marketing, promotional materials, social media posts, website content, and advertising purposes. Client may revoke this authorization at any time by providing written notice to Provider.
Upon revocation, Provider will make reasonable efforts to remove Pet's images from future marketing materials within thirty (30) days of receiving written notice, but is not required to remove content already published on third-party platforms beyond Provider's control. Revocation does not affect Provider's right to use media for internal documentation or operational purposes.
15.3 Ownership & Internal Use
All photographs, videos, and media created by Provider during Services remain Provider's exclusive property. Provider may use such media internally for staff training, incident documentation, service improvement, and communication with veterinarians or emergency contacts when necessary for Pet's care.
15.4 Limited Third-Party Sharing
Provider does not sell or distribute media to unrelated third parties for commercial purposes. Provider may share media only when required for veterinary consultation, insurance claims, legal compliance, or response to valid legal process.
16.1 GPS and Location Data
GPS tracking data is collected and used as described in the Service Agreement and Privacy Policy. GPS is an operational convenience only and does not create a separate standard of care or contractual service level.
16.2 Information Sharing & Disclosure
Provider does not sell or rent personal information to third parties. Information may be shared only with: veterinary professionals for Pet's emergency care; payment processors for transaction processing; insurance providers in connection with claims; law enforcement when required by law; and service providers bound by confidentiality obligations.
16.3 Data Security & Retention
Provider implements reasonable administrative, technical, and physical safeguards in accordance with applicable law, including New Jersey and New York data security requirements (NY SHIELD Act, Gen. Bus. Law §899-bb; NJ Data Privacy Act, P.L.2021, c.506). No method of electronic transmission is completely secure; Client acknowledges these inherent risks.
Provider retains personal information for 3–5 years following Client's last service or transaction, unless a longer retention period is required by law. In the event of a data breach, Provider will notify affected individuals and applicable governmental authorities in accordance with applicable breach notification laws.
16.4 Client Rights & Privacy Requests
Client has the right to: (a) access personal information Provider holds; (b) request correction of inaccurate information; (c) request deletion of information, subject to legal retention requirements; and (d) opt out of marketing communications at any time. To exercise these rights, contact Provider using the contact information in Section 20.4. We will respond within 45 days as required by applicable law.
16.5 Marketing Communications & Consent
By providing a mobile phone number and checking "I agree to receive marketing text messages," Client consents to receive promotional text messages. Consent is not a condition of purchase. Message and data rates may apply. To opt out: reply STOP. For help: reply HELP or contact info@pawsimperial.com.
By checking "I agree to receive marketing calls," Client consents to receive promotional telephone calls, which may be automated or prerecorded. Client may revoke consent at any time by contacting Provider.
16.6 Privacy Policy Updates
Material changes to this Privacy Policy will be communicated via email at least 30 days before becoming effective. These privacy provisions comply with applicable data protection laws, including the CCPA and, where applicable, the GDPR.
17.1 Provider's Proprietary Rights
All content, branding, logos, trademarks, service marks, website materials, and business documents created by or for Provider ("Provider Materials") are the exclusive property of Provider and are protected by intellectual property laws. Client may not use Provider's name, logos, or branding for commercial purposes without Provider's prior written consent.
17.2 Limited License to Use Services
Client receives a limited, non-exclusive, non-transferable, revocable license to access and use Provider's services and website solely for personal, non-commercial purposes. This license terminates automatically upon breach of these Terms or termination of services.
17.3 Client Content & Reviews
By submitting reviews, testimonials, feedback, or suggestions ("Client Content") to Provider, Client grants Provider a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for business purposes. Client retains ownership of submitted content.
17.4 Intellectual Property Enforcement
Unauthorized commercial use of Provider Materials may result in service termination and legal action. If Client believes Provider has infringed Client's intellectual property rights, Client must provide written notice including: a description of the work; a description of the allegedly infringing material; and Client's contact information.
18.1 Termination by Client
Client may terminate services at any time by providing 7 days written notice. Upon termination by Client, all unused prepaid sessions are forfeited without refund. No cash refund will be issued for any unused portion of a prepaid package.
18.2 Termination by Provider
Either party may terminate this Agreement with 7 days written notice. Provider may terminate immediately for safety risks, aggressive pet behavior, non-payment, or material breach of this Agreement. Where practicable and where safety permits, Provider will notify Client in writing prior to or immediately following termination. All unused prepaid sessions are forfeited. No refund will be issued. Upon termination by Provider for operational reasons unrelated to Client conduct, unused prepaid sessions will be refunded within 60 days. Operational reasons include but are not limited to: permanent closure of business, discontinuation of services in Client's geographic area, or cessation of specific service types offered by Provider.
18.3 Effect of Termination & Refund Policy
Upon termination, Client's access to services ends immediately. Client must return all Provider property within seven (7) days and settle all outstanding financial obligations.
Upon Provider termination for operational reasons unrelated to Client conduct, unused prepaid sessions will be refunded within 60 days. In all other cases, unused prepaid sessions are forfeited without refund.
18.4 Suspension & Service Interruption
Provider may immediately suspend services for non-payment, unsafe Pet behavior, policy violations, or safety concerns. Isolated service interruptions for operational reasons do not constitute breach of contract.
18.5 Reinstatement After Suspension
Reinstatement requires: (a) resolution of outstanding payments; (b) written acknowledgment and correction of violations; (c) veterinary clearance if health-related; and (d) behavioral assessment if behavior-related. Provider retains professional judgment to approve or deny reinstatement.
18.6 Survival of Terms
Payment obligations, liability limitations, indemnification, intellectual property rights, dispute resolution and arbitration, and any provisions that by their nature should continue after termination survive termination.
19.1 Informal Resolution Requirement
Before initiating any legal proceeding, the complaining party must contact the other party in writing describing the dispute and attempt to resolve it informally. The responding party will reply within thirty (30) days. If not resolved within sixty (60) days after initial notice, either party may pursue formal dispute resolution as provided below.
19.2 Mandatory Binding Arbitration
Statute of Limitations. Any claim or cause of action arising out of or related to these Terms of Service must be filed within one (1) year after the cause of action arose, to the fullest extent permitted by applicable law, or such claim or cause of action may be permanently barred.
Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in the State of New Jersey. For clients receiving services in New York City, arbitration may be conducted in New York County, New York, upon written request by either party. The arbitrator's decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
19.3 Small Claims Court Exception
Either party may bring an individual action in small claims court if the claim qualifies under that court's jurisdictional limits and procedures. If a small claims court action is removed to a court of general jurisdiction or appealed, the arbitration provisions of Section 19.2 shall apply. Provider reserves the right to elect arbitration over any Small Claims Court proceeding by providing written notice within 30 days of filing.
19.4 Arbitration Costs and Fees
For consumer-initiated arbitrations, Client's responsibility for arbitration filing fees shall be limited to the amount required under the AAA Consumer Arbitration Rules in effect at the time the arbitration is filed. Paws Impérial shall be responsible for all remaining AAA administrative fees and arbitrator compensation. Each party shall bear its own attorneys' fees and costs, unless otherwise required by applicable law or awarded by the arbitrator.
19.5 Opt-Out Right
Client may opt out of this arbitration agreement by sending written notice within thirty (30) days of first accepting these Terms. The opt-out notice must include: Client's full legal name; email address or service address associated with the account; and a clear statement of intent to opt out.

Paws Impérial will confirm receipt of a valid opt-out notice within ten (10) business days. Opt-out applies only to the arbitration provision. All other Terms remain fully enforceable.
19.6 Class Action Waiver & Individual Dispute Resolution
19.7 Jury Trial Waiver
If any court or arbitrator determines that this class action waiver is unenforceable, then the entire arbitration agreement in this Section 19 shall be null and void, and any Dispute shall be resolved in court. All other provisions of these Terms remain enforceable.
19.8 Governing Law, Jurisdiction & Venue
These Terms shall be governed by the laws of the State of New Jersey, without regard to conflict of law principles, and by applicable federal law. To the extent any Dispute is not subject to arbitration, Client and Provider consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of New Jersey. Each party waives any objection to jurisdiction or venue in these courts and waives any right to jury trial in any such proceeding.
20.1 Entire Agreement & Incorporated Documents
These Terms of Service, together with Provider's Privacy Policy, any signed Service Agreement, and booking confirmations, constitute the entire agreement between Client and Provider regarding the Services and supersede all prior understandings, agreements, or representations. No modification of these Terms is valid unless made in writing and signed by an authorized representative of Provider.
20.2 Amendments & Updates
Provider may amend these Terms at any time. Material changes communicated via email at least 30 days before effective date. Continued use of Services after the effective date constitutes acceptance.
20.3 Severability
If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary, or if modification is not possible, it shall be severed. All other provisions remain in full force and effect. If the class action waiver in Section 19.6 is found unenforceable, the entire arbitration agreement shall be void and disputes shall be resolved in court.

20.5 Legal Notices & Formal Communications
Legal notices (including arbitration demands, opt-out notices, or termination notices) must be sent in writing to the address listed in Section 20.4, Attn: Legal Department, via email to info@pawsimperial.com or certified mail, return receipt requested. Notices are deemed received on the earlier of (a) email confirmation of receipt, or (b) three (3) business days after mailing.
20.6 Force Majeure
Force majeure is governed by Section 8.8.
20.7 Assignment & Transfer
Provider may assign or transfer these Terms to any successor entity, affiliate, or third party in connection with a merger, acquisition, or sale of business assets. Client may not assign these Terms without Provider's prior written consent.
20.8 Miscellaneous
- Relationship: Provider and Client are independent parties. These Terms do not create any employment, partnership, joint venture, or agency relationship.
- No Waiver: Provider's failure to enforce any provision does not constitute a waiver. All waivers must be in writing.
- Headings: Section headings are for convenience only and do not affect interpretation.
- Language: In case of translation, the English version of these Terms controls.
